ANNUAL MEETING

For the election of Directors and for the transaction of such other business as may properly come before the meeting or any adjournment thereof. In the event a member will not be attending the annual meeting, the member constitutes and appoints the Secretary of BSA, the true and lawful attorney for the member with full power of substitution, to appear and act as the proxy for the member at the annual meeting and at any and all adjournments thereof, and to vote for and in the name, place and stead of the member, as fully as the member might or could do if personally present. This proxy is revocable and will not affect a member's right to vote in person in the event that the member attends the meeting.
